Capgemini’s US$3.3bn acquisition of WNS will reshape procurement, with AI-led process transformation set to redefine how global supply chains operate

Capgemini’s US$3.3bn acquisition of digital transformation firm WNS marks a major shift in how procurement and supply chain services will evolve.

At the core of the deal is a plan to offer AI-enabled operations to global enterprises - solutions that blend consulting, technology platforms and process expertise. The deal positions Capgemini to lead what it calls "Agentic AI-powered Intelligent Operations"—a model designed to help organisations rethink supply chain efficiency from the ground up.

The agreement will see Capgemini pay US$76.50 per share in cash for WNS. This values the business at approximately US$3.3bn, not including net financial debt. The transaction will combine Capgemini’s global scale and AI platform capabilities with WNS’ experience in digital business process services. 

Together, the two companies aim to deliver smarter procurement systems and better operational outcomes through automation, data integration and deep industry knowledge.

Procurement transformation

According to Capgemini’s Chief Executive Officer Aiman Ezzat, the deal aligns with a broad shift in how global organisations approach operational processes.

Businesses are looking beyond traditional outsourcing models and towards intelligent systems capable of managing complexity in procurement and supply chains.

"Enterprises are rapidly adopting Generative AI and Agentic AI to transform their operations end-to-end," says Aiman. "Business Process Services will be the showcase for Agentic AI."

Agentic AI, a type of AI that operates with goal-driven autonomy, is set to play a central role in the deal.

Capgemini believes this technology will enable clients to automate not only repetitive tasks, but also more strategic procurement decisions, such as supplier selection, demand planning and contract optimisation.

Aiman adds: "Together we will create a leader in Intelligent Operations, uniquely positioned to support organisations in their AI-powered business process transformation, blending the critical capabilities needed from consulting, technology and platforms to deep process and industry expertise."

This has direct implications for procurement professionals, who are under pressure to deliver more value, reduce risk and increase resilience.

Intelligent Operations, as defined by Capgemini, combines process redesign, AI technologies and domain expertise to deliver those goals. It also shifts procurement services towards non-linear commercial models, like outcome-based pricing, which allows clients to align cost with performance.

Strengthening supply chain resilience

For WNS, the deal offers access to Capgemini’s wider network of clients, partners and delivery centres. This means its digital-led transformation solutions, which already serve a portfolio of major global brands including United Airlines, Aviva, Centrica and McCain Foods, can be scaled more broadly.

WNS Chief Executive Officer Keshav R. Murugesh sees the deal as an opportunity to deepen impact across supply chains.

Keshav highlights the need for organisations to embed AI within core supply chain functions. For those that have already digitised operations, the next step is autonomy—systems that can make decisions, learn and adapt in real-time.

The integration will also offer procurement teams the ability to respond more quickly to supply chain disruptions, improve supplier collaboration and extract deeper insights from spend analytics. This will benefit sectors with high operational complexity, such as aviation, financial services, utilities and consumer goods.

Expanding market reach 

Strategically, Capgemini is using the acquisition to deepen its presence in the United States and strengthen its business services footprint.

The combination of Capgemini and WNS creates a US$2.2bn revenue base in Digital BPS for 2024. This scale not only supports larger transformation projects but also enables rapid deployment of AI-enabled solutions across sectors.

The deal opens up cross-selling opportunities between Capgemini’s consulting and platform capabilities and WNS’ industry-specific offerings. That integration is expected to unlock new ways to support procurement, moving away from labour-intensive models towards tech-led, automated services.

Capgemini aims to help clients replace fragmented and manual supply chain systems with unified, AI-optimised processes. These systems would enhance agility, reduce waste and improve visibility across supply networks—core objectives for procurement teams in every industry.
